Southwire is seeking to hire an experienced attorney to serve as Assistant General Counsel (AGC) to lead the Company’s contract team and initiatives that support of the Company’s Commercial, Strategic Sourcing, Operations, Engineering, IT, Real Estate, Marketing, and other Shared Services functions. The AGC will be a leader on a team of legal professionals with a mission to deliver top-quality, strategic and cost-conscious legal solutions to business issues, leveraging technology to increase efficiency and drive value to the organization. The ideal candidate is a hands-on, proactive partner, and people leader who can manage a wide assortment of day-to-day needs and long-term projects.

Description of Duties and Responsibilities

  • Leads a team of contract attorneys and support staff.
  • Provide sound legal advice and counsel to Southwire in complex and diverse matters affecting day-to-day operations by assisting, advising, investigating, researching and resolving legal matters.
  • Partner with the business to assess legal risks and develop strategic solutions to protect the Company’s interests.
  • Oversees and assist in the development, implementation, and enforcement of processes and policies, such as contract life management (CLM) system, contract management and purchasing policies, and chart of authority.
  • Prepare a broad range of contracts by analyzing, drafting, negotiating, reviewing and overseeing the execution of same to ensure that Southwire’s interests are protected and that Southwire’s obligations are compatible with Company policies and applicable law.
  • Effectively oversee outside counsel, including developing strategies which align with and achieve the Company’s strategic business objectives, coordinating with the appropriate Southwire subject matter experts, and defining the Company’s desired outcomes.
  • Manage a high-volume of legal projects, including M&A due diligence and integration activities.
  • Develop and present topic specific trainings including ongoing management of Southwire contract templates and best practices playbook.
  • Communicate key information to necessary stakeholders to ensure parties are properly informed.
  • Participate in internal stakeholder team meetings and provide legal advice and guidance, as needed.
  • Partner with Southwire Commercial Sales, Product Management, and Corporate Communications teams to draft correspondence to Southwire customers, distributors and sales agents, as needed.

Qualifications and Experience Requirements

  • The ideal candidate will have a diversified background in providing best in class legal services to sophisticated corporate clients (Commercial, Sourcing, Operations, IT, Real Estate, Marketing, and General Contracts). The ideal individual is someone who thrives in a fast paced, team oriented professional group. Outstanding communication skills (both orally and in written form) and the ability to meet deadlines are a must. The ideal candidate will have the following:
  • Excellent academic credentials including a J.D. from a U.S. law school and state bar membership in good standing in at least one state.
  • At least 10 years of prior relevant professional experience, including managerial experience.
  • Experience partnering with business managers and providing leadership at a growing company is highly desired.
  • An individual who is approachable, trustworthy and dependable with exceptional interpersonal skills; possesses superior intellect, with the ability to think critically and make clear and well-reasoned decisions; possesses a strong, pragmatic business acumen with the ability to recognize the broader consequences of legal advice; and is a strategic and innovative thinker who can deliver value to clients and find creative solutions to complex legal problems.
  • An individual who can deal effectively with strategic issues as well as tactical operational details, exercise sound judgment, and work independently as well as collaboratively and efficiently under time pressure.
  • An individual who can inspire, motivate, and effectively lead a team of legal professionals.
