The Team

Nasdaq’s Corporate Development (M&A) team, working closely with senior leadership, is responsible for the development, assessment, and implementation of inorganic strategic activation plans, including mergers, acquisitions, divestitures, joint ventures, and strategic investments. Positioned within Nasdaq’s broader strategy organization, the Corporate Development team functions as a key conduit among the strategy, finance, business unit, and technology teams, providing the opportunity for high impact and collaboration with senior leadership across Nasdaq. As part of the Corporate Development team, the candidate will assist in M&A and strategic project execution, including the development of investment theses, coordination of business and financial due diligence processes, and preparation of financial analyses and materials to support decision-making by senior management. Your role will help Nasdaq further our stated strategic and long-range priorities.

Your Role and Responsibilities

  • Support all aspects of the deal process, including the identification, evaluation, and execution of potential inorganic capital deployment alternatives
  • Work closely with business unit, integration management office (IMO) and technology teams to develop, assess, and implement strategic activation and post-deal integration plans
  • Perform in-depth business and financial analysis to help quantify intuitions
  • Support day-to-day transactions, including, but not limited to, communicating the strategy behind a transaction, creating investment committee and executive leadership team review presentations / investment memos, conducting due diligence and financial analysis on the opportunity set, negotiating transaction documents, presenting findings to senior management, coordinating with various cross-functional teams, and identifying / pricing risk(s)
  • Conduct research / analyze key trends in the industry and support ad hoc strategic and financial analyses for senior management
  • Engage and build relationships with internal and external stakeholders, including key deal team members within Nasdaq as well as investment banks, law firms, consulting firms, brokers, private equity / venture investors, and companies

Preferred Qualifications / Requirements

  • Bachelor’s Degree with 2+ years of experience, including investment banking, management consulting, private equity, venture capital, and/or corporate development
  • Prior M&A transaction and deal experience required; buy-side experience a plus
  • Experience covering and executing transactions in the technology, financial services and/or FinTech sectors a plus
  • Strong financial modeling and analytical skills
  • Excellent oral and written communication skills, with the ability to distill complex information into clear theses and actionable insights for presentation to senior management
  • Ability to manage multiple concurrent processes and effectively prioritize projects in a high-paced, entrepreneurial environment with minimal supervision
